These terms govern all services provided by PartForm. By placing an order or accepting a quotation you agree to these terms in full.
1. Introduction & Parties
These Terms and Conditions ("Terms") govern the supply of engineering design, reverse engineering, 3D printing, and related services (collectively, "Services") by PartForm, operated by Rumen Ivanov, an independent physical person based in Gabrovo, Bulgaria ("PartForm", "we", "us", "our") to the customer placing an order ("Customer", "you"). Full registered address is available on written request via info@partform.eu.
By accepting a quotation, placing an order, or making payment you confirm that you have read, understood, and accepted these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
These Terms apply to all orders, whether placed by email, through our website contact form, or any other written channel.
2. Definitions
- "Order" means a written request or accepted quotation for Services.
- "Deliverable" means any physical part, assembly, CAD file, drawing, or other output produced under an Order.
- "Prototype" means a Deliverable produced for the purpose of testing, evaluation, or validation — not certified for end-use, production replacement, or safety-critical application without independent testing.
- "Customer Files" means design files, drawings, samples, photographs, or other materials provided by the Customer to PartForm.
- "PartForm Files" means CAD models, drawings, toolpaths, or process files created by PartForm in the course of delivering Services.
- "Specification" means the agreed technical requirements documented in the accepted quotation or written brief.
3. Services
PartForm provides custom engineering services including but not limited to:
- Mechanical CAD design
- Reverse engineering from physical samples or reference parts
- 3D scanning and mesh-to-CAD reconstruction
- FDM 3D printing in engineering-grade plastics
- Prototype tooling for vacuum forming
- Custom objects and figurine modelling
- Prototype-to-production support in coordination with associated manufacturers
All Services are custom and made to order. PartForm does not maintain a catalogue of standard products.
3.1 Use of Partner and Associate Manufacturers
Some Services — particularly production-scale injection moulding, vacuum forming, metal 3D printing, and large-volume manufacture — are fulfilled in whole or in part through PartForm's associated manufacturing company or approved third-party partner network. PartForm acts as the primary contractor and point of contact in all cases. By placing an Order, the Customer consents to PartForm engaging such partners where necessary to fulfil the Order.
- Quality responsibility: PartForm remains fully responsible to the Customer for the quality and conformity of all Deliverables, regardless of which entity produced them.
- Confidentiality: Partner manufacturers are engaged under confidentiality obligations equivalent to those in Section 12. Customer Files and Order details are shared only to the extent necessary for production.
- No additional cost: Use of partner manufacturers does not result in additional charges to the Customer beyond the agreed Order price, unless changes to scope are requested after quotation acceptance.
- Transparency: PartForm will disclose, upon request, whether a specific Deliverable has been produced by a third-party partner.
4. Quotations & Orders
All quotations are provided in writing (email or document) and are valid for 30 days from the date of issue unless otherwise stated. Quotations are subject to change if the Customer's requirements or material costs change before acceptance.
An Order is confirmed when the Customer provides written acceptance of a quotation (by email reply or signing a purchase order) and, where required, pays the deposit specified in Section 5.
PartForm reserves the right to decline any Order at its discretion without obligation to provide a reason.
Any changes to an accepted Order must be agreed in writing by both parties. Changes may affect price and lead time.
5. Pricing & Payment
All prices are in EUR and exclude VAT unless stated otherwise. As PartForm is currently operated by an independent physical person not registered for VAT, no VAT is charged on invoices at this time. This will change if and when VAT registration becomes mandatory or voluntarily elected.
Payment terms:
- A deposit of 50% of the Order value is required before work commences, unless agreed otherwise in writing.
- The remaining balance is due upon completion and prior to delivery or handover of Deliverables.
- For ongoing or repeat clients, alternative payment terms may be agreed in writing.
Late payment will incur interest at the statutory rate under the Bulgarian Commerce Act (Закон за задълженията и договорите / Търговски закон) from the due date, plus reasonable collection costs as permitted under the EU Late Payment Directive (2011/7/EU).
PartForm reserves the right to withhold delivery of Deliverables until full payment is received.
6. Lead Times & Delivery
6.1 Estimated vs. Binding Deadlines
Lead times stated in quotations and order confirmations are estimates provided in good faith and are not contractually binding unless explicitly designated as a binding deadline in writing (e.g. stated as "delivery guaranteed by [date]" in the accepted quotation or a separate written agreement signed by both parties). Estimated lead times may be affected by factors including material availability, equipment maintenance, print queue, and third-party courier delays.
Where a binding deadline has been agreed in writing and PartForm fails to meet it due to causes within PartForm's reasonable control, the Customer may, as their sole remedy for the delay, request a partial reduction in the Order price proportional to the delay, up to a maximum of 10% of the Order value. This does not apply to delays caused by late Customer approvals, incomplete briefs, or events covered under Section 13 (Force Majeure).
6.2 Customer Delays
If the Customer delays approval, fails to provide required information, or postpones an Order after work has commenced, PartForm reserves the right to adjust the delivery schedule accordingly. If an Order is paused for more than 30 calendar days at the Customer's request, PartForm may invoice for work completed to date and treat the Order as suspended until the Customer confirms resumption in writing.
6.3 Physical Deliverables — Risk & Title
Risk of loss or damage passes to the Customer upon handover to a courier or upon collection by the Customer. Title to physical Deliverables passes upon receipt of full payment.
6.4 Digital Deliverables
CAD files and drawings are delivered by email or file transfer upon full payment. The Customer is responsible for verifying that files have been received in a usable format within 5 business days of delivery and must notify PartForm promptly of any delivery or format issue.
7. Prototype Status & Safety Disclaimer
⚠ Please read this section carefully. It defines the nature of all physical Deliverables and limits PartForm's liability for downstream use.
7.1 All Physical Deliverables Are Prototypes
Unless a separate written agreement explicitly states otherwise, all physical parts, assemblies, and products produced by PartForm are supplied as functional prototypes only. They are manufactured for the purposes of testing, evaluation, form-and-fit validation, and proof-of-concept — not as certified replacements for original manufactured, injection-moulded, machined, or safety-rated components.
7.2 Customer Responsibility for Testing & Validation
The Customer is solely responsible for:
- Determining whether any Deliverable is suitable for its intended application.
- Conducting all necessary engineering testing, load testing, environmental testing, and any other validation required before deploying any Deliverable in a real-world application.
- Ensuring that any Deliverable meets all applicable safety standards, regulations, and certification requirements before use.
- Not using any Deliverable as a direct replacement for an original or OEM part in a safety-critical, load-bearing, or structural application without first completing independent validation and testing to confirm feasibility and safety.
7.3 No Safety Certification
PartForm does not test, certify, or warrant any Deliverable against any safety standard, industry certification, building regulation, or structural requirement. Material property data is provided by material manufacturers and may not reflect actual part performance, which is affected by geometry, print orientation, layer adhesion, post-processing, and operating conditions.
7.4 Disclaimer of Liability for Use
PartForm expressly disclaims all liability for injury to persons, damage to property, production downtime, financial loss, or any other harm arising from the use, misuse, failure, or modification of any Deliverable, including but not limited to use in applications for which the Deliverable has not been independently tested and validated by the Customer.
By accepting any Deliverable, the Customer acknowledges that they have read and understood this disclaimer and accept full responsibility for evaluating and validating the Deliverable before use.
8. Intellectual Property & File Ownership
8.1 Customer Files
The Customer retains full ownership of all Customer Files provided to PartForm. PartForm is granted a limited, non-exclusive, non-transferable licence to use Customer Files solely for the purpose of fulfilling the relevant Order. PartForm will not reproduce, sell, share, or use Customer Files for any other purpose without express written consent.
8.2 PartForm-Created CAD Files & Designs
Where PartForm creates original CAD models, drawings, or design work as a Deliverable under a paid Order, ownership of those specific output files transfers to the Customer upon receipt of full payment for that Order.
PartForm retains the right to retain process files, toolpaths, and internal working files for archival, quality assurance, and re-order support purposes. These internal process files are not part of the Deliverable and are not transferred to the Customer.
8.3 Reverse Engineering Work Product
Where Services involve reverse engineering a physical sample or part supplied by the Customer, the resulting CAD model is treated as a Deliverable and ownership transfers to the Customer upon full payment, subject to the Customer's warranty in Section 9.
8.4 Portfolio Use
Unless the Customer requests confidentiality in writing before or at the time of ordering, PartForm reserves the right to photograph and display completed Deliverables in its portfolio, website, and promotional materials. No proprietary dimensions, internal design details, or Customer-identifying information will be disclosed without permission.
8.5 PartForm Background IP
Nothing in these Terms transfers ownership of PartForm's own tools, methods, processes, templates, or background intellectual property to the Customer.
9. Customer Warranties
By placing an Order, the Customer warrants that:
- They have the legal right to use, share, and request manufacturing of any designs, samples, or files provided to PartForm.
- The production of any Deliverable to their Specification does not infringe the intellectual property rights of any third party.
- They will use all Deliverables in compliance with applicable law.
- They will not use any Deliverable in an application for which it has not been independently tested and validated.
The Customer agrees to indemnify PartForm against any claim, loss, or cost arising from a breach of these warranties.
10. Returns, Refunds & Defects
10.1 Custom Goods — No Standard Right of Return
Because all Services and Deliverables are produced to individual Customer Specifications, they are exempt from standard distance-selling return rights. Custom-manufactured goods cannot be returned or refunded except in the circumstances described below.
10.2 Manufacturing Defects
If a physical Deliverable materially deviates from the agreed Specification due to a manufacturing error on PartForm's part, the Customer must:
- Notify PartForm in writing within 7 calendar days of receiving the Deliverable.
- Provide photographic evidence and a written description of the deviation.
PartForm will, at its sole discretion, offer one of the following remedies: re-manufacture of the defective item at no additional charge, a partial credit against a future order, or a partial refund proportional to the defect. No remedy will exceed the value of the defective item.
10.3 Tolerance Acknowledgement
FDM 3D printing has inherent dimensional tolerances. Unless otherwise agreed in writing, standard tolerance is ±0.3 mm or ±0.5% (whichever is greater). Deliverables within this tolerance are not considered defective.
10.4 Digital Deliverables
CAD files and drawings delivered digitally are non-refundable once delivered. If the Customer identifies an error in a delivered file that does not match the agreed Specification, PartForm will correct and re-deliver the file at no charge, provided the Customer reports the error within 14 days of delivery.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
- PartForm's total aggregate liability to the Customer for any Order, whether in contract, tort (including negligence), or otherwise, shall not exceed the total price paid by the Customer for the specific Order giving rise to the claim.
- PartForm shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to: loss of profit, loss of revenue, loss of production, loss of data, or third-party claims.
- PartForm shall not be liable for any loss or damage arising from the Customer's use of a Deliverable in an application for which it was not designed or has not been independently validated.
- Nothing in these Terms limits liability for death or personal injury caused by PartForm's gross negligence or wilful misconduct, or for fraud.
12. Confidentiality
Both parties agree to treat as confidential any technical, commercial, or operational information received from the other party that is identified as confidential or that a reasonable person would consider confidential given its nature. Neither party will disclose such information to third parties without the prior written consent of the other, except as required by law.
This obligation survives termination of any Order for a period of 3 years.
13. Force Majeure
PartForm is not liable for delay or failure to perform due to circumstances beyond its reasonable control, including but not limited to: equipment failure, material shortages, power outages, acts of God, industrial action, or pandemic restrictions. PartForm will notify the Customer promptly of any such event and will resume performance as soon as reasonably practicable.
14. Termination
Either party may cancel an Order before work commences by written notice. If work has commenced, the Customer remains liable for costs incurred up to the point of cancellation, including materials purchased, design time logged, and any third-party costs committed on the Customer's behalf.
15. Governing Law & Jurisdiction
These Terms and any disputes arising from them are governed by the laws of Bulgaria. The parties submit to the exclusive jurisdiction of the competent courts in Gabrovo, Bulgaria for resolution of any dispute, except where mandatory EU consumer-protection or jurisdictional rules require otherwise.
For EU consumers, mandatory consumer protection rights under the law of the Customer's country of residence are not affected by this clause.
16. Changes to These Terms
PartForm reserves the right to update or amend these Terms at any time. Changes take effect from the date of publication on the website.
- Existing Orders: The version of these Terms in force at the time a specific Order is accepted governs that Order in full. Updates to these Terms do not retroactively alter the terms of any accepted Order.
- New Orders: Any Order placed after the date a revised version is published will be subject to the updated Terms. It is the Customer's responsibility to review the current Terms before placing each new Order.
- Notification: For material changes (those affecting payment, liability, or IP), PartForm will make reasonable efforts to notify existing clients by email where contact details are held. However, continued use of Services after publication of an update constitutes acceptance of the revised Terms.
- Current version: The version currently in force is always available at partform.eu/terms and is dated at the top of this document.
